Background Information
The Development Bank of Rwanda (BRD) Plc is Rwanda’s only National Development Bank mandated to support Rwanda’s Vision 2050 development agenda. Over the past five years, the bank has registered exponential growth contributing to socio-economic development, strengthening institutional and human capacity, fostering corporate governance and risk management practices.
The Bank is implementing the revised strategic plan for 2024-2028 which is appropriately aligned to the country’s strategic direction enabling the Bank to unlock better value creation for its stakeholders by supporting entrepreneurs, addressing market failures, and impactful socioeconomic development.

Background Information
Job Title: LegalCounsel, Corporate Governance and Regulatory Affairs
Job Grade:

Division: Legal Department
Reports to: Director of Legal Affairs

Contract terms: Open ended contract
Purpose of the Job
The purpose of the job is to provide support to the office of the Company Secretary in managing Board and AGM affairs, preparing regulatory reviews, and executing legal research related duties.
Main Responsibilities of the Job
Duties and responsibilities shall include but not limited to:
- Prepare for Board and Committees meetings and follow-up on the implementation of Board decisions and prepare relevant reports.
- Prepare and ensure proper documentation for minutes of meetings and review the Board papers before submission to the Board.
- File financial annual returns and other statutory corporate governance related changes such as change of directors, external auditors, executive management members with the office of the registrar general (Rwanda Development Board).
- Prepare key organizational documents such as Annual Reports, executive briefing papers and Board papers.
- Facilitate, assess and review Board and Shareholder management internal policies and procedures to ensure they are aligned with applicable laws and regulations.
- Monitor changes in regulation that may have an impact on the Bank’s operations and prepare legal notes on the same.
- Conduct legal research required to inform the bank’s operations.
Working relationships
Professional, academic qualifications and experience
- Bachelor’s Degree in law
- A minimum of three (3) years’ experience in a similar position.(additional advantage)
Core competencies
- Ability to communicate effectively
- Excellent report writing skills
- Excellent interpersonal skills
- Good time and personal management skills
- Understanding of Board and AGM dynamics
- Excellent research and analytical skills.
