Job Summary: The Legal Officer will provide legal counsel, ensure regulatory compliance, support Board governance, and manage human resource functions for Sager Ganza Microfinance Plc in a remote working capacity. The incumbent will serve as the Company Secretary, Institutional Legal Advisor, and HR Officer, contributing to sound governance, legal risk mitigation, and professional HR practices.
KEY RESPONSIBILITIES
- Legal Advisory Services
- Provide legal advice on contracts, operations, regulatory compliance, and institutional policies.
- Draft, review, and revise legal documents and agreements, ensuring alignment with applicable laws and regulations.
- Monitor changes in financial, commercial, and labor laws affecting microfinance operations in Rwanda.
- Liaise with external legal counsel and regulators as needed.
- Support in handling legal disputes, compliance queries, and internal risk mitigation strategies.
- Company Secretarial Duties
- Organize Board and Committee meetings; prepare and circulate agendas, minutes, and board documentation electronically.
- Ensure timely filing of statutory returns and maintenance of digital statutory registers.
- Provide remote governance support and ensure the company complies with relevant provisions of Rwandan company law and BNR regulations.
- Maintain accurate and up-to-date records of all corporate documents, resolutions, minutes, and statutory registers.
- Support corporate governance activities, including board meetings and compliance.
- Assist in identifying and managing legal and compliance risks.
- Human Resource Management
- Develop and update HR policies and manuals suitable for a hybrid/remote work environment.
- Oversee digital HR processes including recruitment, onboarding, employee recordkeeping, and off boarding.
- Support performance management, career development and staff motivation, grievance handling, and disciplinary actions in compliance with labor law.
- Ensure timely communication and application of HR policies to maintain strong virtual employee engagement.
- Advise management on labor law requirements for remote teams.
- Key Relationships
- Internal: CEO, Senior Management, All Staff, Board of Directors
- External: BNR, RDB, External Legal Counsel, Labor Authorities
QUALIFICATIONS AND EXPERIENCE
- Bachelor’s Degree in Law (LLB); postgraduate qualification in Business Law or Human Resource Management is an added advantage.
- Minimum 1–3 years of combined experience in legal, company secretarial, and/or HR roles.
- Proven ability to work independently in a remote setting with strong self-management.
- Experience working with financial institutions, especially microfinance, is highly desirable.
Required Skills and Attributes
- Strong knowledge of Rwandan company law, labor law, and financial sector regulation.
- High proficiency in digital communication and collaboration tools (e.g., Zoom, Teams, Google Workspace).
- Excellent written and verbal communication in English and Kinyarwanda.
- Detail-oriented with strong document management and legal drafting skills.
- Confidentiality, professionalism, and ethical judgment.
- Ability to coordinate virtual board and staff meetings efficiently.
Work Environment
- Remote with access to a secure internet connection and digital communication tools.
- Occasional travel to branches may be required (e.g., quarterly or semi-annually).
- Flexible schedule to accommodate board meetings or regulatory deadlines.
