Terms of Reference (ToR) for Consultancy to develop strategic documents Tender at Money Tap Ltd. 

  1. Background

Money Tap Ltd, is a company duly registered in the office of the Registrar General licensed by National Bank of Rwanda to operate as non-deposit taking Finance Institution in Rwanda. We are committed to offering accessible, transparent, and innovative financial solutions that empower individuals and businesses to grow and achieve their financial goals.

In order to comply with the requirements of the regulator, Money Tap Ltd is seeking to hire a consultant to assist in the development of key strategic documents including but not limited to the 

  • Governance structure document;
  • Strategic and Business plans 
  • core business operating policies (Credit &recovery policy)
  •  investment & Funding policies

2. Objectives of the Consultancy

The primary objectives of this consultancy are to:

  1. Develop a Governance Structure document:
    Design and propose a governance model for Money Tap ltd that ensures effective decision-making, accountability, and alignment with best practices for non-deposit taking financial service providers in Rwanda. This will include defining roles and responsibilities for board members, staff, and other board committees.
  2. Develop a Strategic and Business Plan:
    The consultant will develop a strategic plan and Business plan that outline the strategic goals, operating model, target market, and financial projections of Money Tap Ltd. This document acts as a guide for day-to-day operations and serves as a crucial document to secure funding by showcasing how Money Tap ltd will be sustainable and profitable for the next 5 years(2026-2030)
  3. Develop core business operating policies such Credit policy, funding and investment policy, consumer protection policy,anti-money laundering and Risk management framework: The consultant will also develop a comprehensive business operating policies and procedures.
  4. Capacity Building and Training:
    Provide training to board members and staff on governance best practices and strategic planning processes to enhance their capacity for effective implementation.

3. Scope of Work

The consultant will be responsible for the following tasks:

  • Conduct a comprehensive assessment of Money Tap Ltd’s current operations, organizational structure, and challenges. This will include conducting a SWOT Analysis (Strengths, Weaknesses, Opportunities, and Threats) to understand the internal and external factors affecting the company.
  •  Perform a PESTEL Analysis (Political, Economic, Social, Technological, Environmental, and Legal) to evaluate the broader external environment in which the organization operates, identifying key factors that may influence its growth and operations.
  •  Review relevant documents, including existing strategic and business plans, reports, and operational structures.
  • Develop a Governance structure document, strategic and Business plans and Credit policy and Risk Management framework 
  • Ensure all documents align with Rwanda legal and regulatory requirements

4. Deliverables

The consultant will be expected to deliver the following:

  1. Inception Report: A detailed report outlining the methodology, timeline, work plan, and initial findings from the assessment phase.
  2. A draft set of documents covering the Governance structure document, Strategic and Business plans and core business operating policies (Credit &recovery policy, Funding &investment policy, Consumer protection policy, Anti-money Laundering Policy and Risk Management framework)
  3. A final set of documents covering the Governance structure document, Strategic and Business plans and core business operating policies (Credit &recovery policy, Funding& investment policy, Consumer protection policy, Anti-money Laundering Policy and Risk Management framework)
  4. Capacity building sessions: Develop training materials and Conduct training sessions to build capacity.
  5. Training Report: A summary report of the training activities, including feedback from participants and any recommendations for further capacity-building needs.
  6. A final consultancy report summarizing the process, findings, and recommendations 

All deliverables should be provided in editable electronic format.

5. Requirements:

The consultant or firm should have: 

  • Proven experience in developing Company strategic and business plan,risk management framework for Financial services providers in Rwanda. 
  • Knowledge of Central Bank (BNR)compliance requirements and best practices in governance of Non deposit Taking Financial Service providers 
  • Excellent analytical, writing, and facilitation skills 
  • Previous three similar assignments

6. Application requirements

Interested consultants or firms should submit: 

  1. A technical proposal outlining Understanding of the assignment, Proposed methodology and work plan, Timeline 
  2. A financial proposal with a detailed budget 
  3. Company/consultant profile and relevant experience and CVs of lead team members.
  4. At least three references from similar assignments 

7. Evaluation Criteria

Applications will be evaluated based on: 

  • Relevant experience and technical expertise 
  • Quality and clarity of the proposed methodology 
  • Cost-effectiveness of the financial proposal 
  • Recommendations from three references
  • Demonstrated understanding of Non deposit taking financial service providers operational systems and internal controls 

Evaluation and contract award will be conducted strictly based on capacity, compliance with requirements, and value for money. 

8. Application
